AWI Kingdom Builder - Independent Contractor Agreement

Effective Date: The date of electronic acceptance.

This Independent Contractor Agreement ("Agreement") is entered into by and between American Wealthness, Inc., a [Your State of Incorporation] corporation ("Company"), and the individual accepting these terms electronically ("Contractor").

RECITALS

The Company is engaged in the business of providing high-performance wellness coaching, programs, and products. The Contractor has expertise in high-ticket sales and desires to represent the Company's offerings as an independent contractor. By clicking the acceptance button, the Contractor acknowledges they have read, understood, and agree to be bound by all terms and conditions herein.

1. ENGAGEMENT AND SERVICES

The Company engages the Contractor to perform, and the Contractor agrees to perform, sales and promotional services for the Company's B2B and ministry offerings, specifically:

• The AWI Corporate Wellness Program
• "The Commission" Ministry Licensing Offer

2. TERM

This Agreement shall commence on the Effective Date and will continue on a month-to-month basis until terminated by either party with thirty (30) days' written notice.

3. RELATIONSHIP OF PARTIES

The Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of the Company. The Contractor is not entitled to any of the benefits that the Company may make available to its employees and is solely responsible for all personal tax obligations.

4. COMPENSATION

The Contractor's compensation shall be based solely on commissions from closed sales, calculated on the total gross sales revenue per calendar month.

4.1. Dual Commission Structure. The Contractor will earn commissions based on the following retroactive monthly tiered bonus system:

1. AWI Corporate Wellness Program:

• Kingdom Builder Tier: 15% on monthly sales from $0 - $14,999.
• Operator Tier: 20% on monthly sales from $15,000 - $29,999.
• President's Club Tier: 25% on monthly sales of $30,000 or more.

1. "The Commission" Ministry Licensing Offer:

• Kingdom Builder Tier: 20% on monthly sales from $0 - $14,999.
• Operator Tier: 25% on monthly sales from $15,000 - $29,999.
• President's Club Tier: 30% on monthly sales of $30,000 or more.

4.2. Advanced Bonus Structures.

• Ecosystem Accelerator Bonus: A quarterly bonus paid on all individual product sales generated from the Contractor's closed accounts, tiered from 2% to 6% based on volume.
• "The Vanguard" Consistency Bonus: To achieve "President's Club" status for a given month, the Contractor's total combined sales from both the Corporate Wellness Program and the Ministry Licensing Offer must equal or exceed $30,000. Contractors who achieve "President's Club" status for three consecutive months within a calendar quarter will be inducted into "The Vanguard," receiving a 5% retroactive bonus on that quarter's total sales. This 5% bonus is retained for every subsequent month "President's Club" status is maintained.

5. MANDATORY INVESTMENT & CONDITIONAL TERMS

5.1. Initial Investment. As a condition of this Agreement, the Contractor agrees to invest in the "Stay Addicted: 90-Day Ignition Kit" to personally experience the transformation they will represent. The Contractor will receive this kit for a one-time, at-cost investment of $349.99, payable upon acceptance of this Agreement.

5.2. Performance Condition. It is understood that if the Contractor fails to close at least one (1) "AWI Corporate Wellness Program" or one (1) "The Commission" Ministry Licensing deal within the first ninety (90) days from the Effective Date of this Agreement, the remaining balance of the full retail price of the "Stay Addicted: 90-Day Ignition Kit" ($997.00), equating to $647.01, will become immediately due and payable to the Company.

5.3. Authorization and Forgiveness. By accepting this Agreement, the Contractor expressly authorizes American Wealthness, Inc. to charge the payment card used for the initial investment for the amount of $647.01 on the 91st day following the Effective Date if the Performance Condition outlined in Section 5.2 has not been met. Conversely, if the Performance Condition is met within the ninety (90) day period, the remaining balance of $647.01 is fully forgiven by the Company, and no further payment for the Ignition Kit will be due.

6. CONFIDENTIALITY

The Contractor agrees not to disclose any of the Company's confidential information, including but not limited to sales strategies, client lists, financial information, and proprietary program materials, to any third party.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California.

ACCEPTANCE OF TERMS
